Use of the Talent2Africa platform (recruitment software, HR marketplace and related services, hereinafter « the Services ») is governed by these terms and conditions (« T&Cs »).
1.1 The Services are provided « as is ». Talent2Africa makes no warranty as to the quality or availability of the Services. Talent2Africa reserves the right to change the form and nature of the Services at any time, at its sole discretion and without prior notice to the customer (« the Customer »).
1.2 The Customer may discontinue use of the Services at any time, without notice. Talent2Africa may terminate the Services at any time and at its sole discretion upon one month's notice to the Customer, during which period the Customer may request and obtain a copy of any data stored on the platform.
2.1 The Services may only be used to recruit individuals for real positions in real organizations. The Customer must not use the Services to: advertise fake jobs; collect CVs and applicant data for purposes other than hiring; promote products or services, self-employment, work-from-home opportunities, or commission-only positions; or for any use inconsistent with applicable law, regulations, or generally accepted recruiting practices. Talent2Africa reserves the right to restrict account access in the event of breach of these provisions.
2.2 Talent2Africa does not currently impose limits on data storage or usage, but may do so in the future at its sole discretion. The Customer should not store more data than is reasonably required for normal recruiting activities.
2.3 Talent2Africa promotes fast, fair and transparent hiring. The Customer undertakes not to use the Services in a manner inconsistent with these values, including any form of discrimination in the hiring process.
2.4 The Customer agrees not to attempt to access the Services by any means other than the interface provided by Talent2Africa, nor to engage in any activity that interferes with or disrupts the Services or infringes on Talent2Africa's and/or its third-party vendors' brand or intellectual property.
3.1 The Talent2Africa platform integrates third-party services (recruitment agencies, job boards, marketplace partners, etc.). The terms and conditions of these providers apply when the Customer uses them. It is recommended to review them before any use or purchase. Talent2Africa cannot be held responsible for these third-party services, nor does it warrant their quality.
3.2 Any exchange of data between the Customer and third-party providers (including job boards and marketplace partners) is solely between them. Talent2Africa is not responsible for any disclosure, modification or deletion of the Customer's data resulting from access by such providers.
Talent2Africa's processing of the Customer's data is governed by our privacy policy, which is incorporated by reference into these T&Cs.
5.1 To the maximum extent permitted by applicable law, Talent2Africa, its affiliates, agents, directors, employees, suppliers and third-party vendors shall not be liable for any direct, indirect, punitive, incidental, special, consequential or exemplary damages, including loss of profits, goodwill, use, data or other intangible losses, resulting from the use of or inability to use the Services.
5.2 This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability or any other basis, even if Talent2Africa has been advised of the possibility of such damage.
5.3 Talent2Africa's liability to the Customer under or in connection with this agreement shall be limited to the fees paid by the Customer in the last twelve months, regardless of whether such liability arises from a material breach of contract, tort or breach of statutory duty.
6.1 Talent2Africa grants the Customer a personal, worldwide, non-exclusive, non-transferable license to use the Services, strictly in accordance with these T&Cs and for recruiting purposes.
6.2 The Customer may not copy, modify, create derivative works, reverse engineer, decompile or otherwise attempt to extract the source code of the software, nor permit anyone else to do so. This limitation also applies to the software and services of Talent2Africa's third-party vendors.
6.3 Unless the Customer has agreed otherwise in writing with Talent2Africa, nothing in these T&Cs gives the Customer the right to use any of Talent2Africa's or its third-party vendors' trade names, trademarks, service marks, logos, domain names or other distinctive brand features.
7.1 These T&Cs and the privacy policy constitute the entire agreement between the Customer and Talent2Africa. Talent2Africa may modify the T&Cs from time to time. Continued use of the Services after such changes constitutes acceptance of the updated T&Cs.
7.2 These T&Cs shall be governed by the laws of the Republic of Senegal. The Customer and Talent2Africa agree to submit to the exclusive jurisdiction of the courts of Senegal to resolve any legal matter arising from these T&Cs.
7.3 Neither party shall be required to comply with any obligation under this agreement if such compliance is impeded by an event of force majeure (an event beyond the control of the affected party that could not be anticipated or mitigated). In the event of force majeure, each party shall take all reasonable steps to minimise the impact on the other party.
